Welcome to SempaHire. These Terms of Service ("Terms") govern your use of our recruitment, visa processing, and talent outsourcing services. By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully before proceeding.
1 Definitions
- "SempaHire," "we," "our," or "us" refers to SempaHire, a recruitment and talent outsourcing agency registered in Ghana.
- "Candidate" or "Job Seeker" refers to individuals seeking employment opportunities through our services.
- "Employer" or "Client" refers to companies or individuals seeking to hire talent through our services.
- "Services" refers to recruitment, staffing, visa application support, contract handling, and talent outsourcing services provided by SempaHire.
- "Placement" refers to the successful employment of a Candidate with an Employer through our services.
2 Services Overview
SempaHire provides the following services:
- Recruitment & Staffing: Sourcing, screening, and matching candidates with suitable job opportunities in Ghana and internationally.
- Visa Application Support: Assisting with work visa applications, document preparation, and liaison with embassies and immigration authorities.
- Contract Handling: Reviewing, drafting, and facilitating employment contracts between candidates and employers.
- Talent Outsourcing: Providing flexible workforce solutions including staff augmentation and project-based staffing.
3 Terms for Job Seekers
3.1 Registration and Information
By registering with SempaHire, you agree to:
- Provide accurate, complete, and current information about yourself
- Update your information promptly when changes occur
- Not misrepresent your qualifications, experience, or work history
- Provide genuine documents and references
3.2 Service Fees for Job Seekers
Recruitment services are provided free of charge to job seekers. We are compensated by employers for successful placements. However, certain additional services may incur fees:
- Visa application fees (government fees, medical examinations, document attestation)
- Document processing and courier services
- Skills assessment and certification costs
- Travel and relocation expenses
All fees will be clearly communicated and agreed upon in writing before any charges are incurred.
3.3 No Employment Guarantee
Registration with SempaHire does not guarantee employment. Job placement depends on various factors including employer requirements, your qualifications, visa approvals, and market conditions. We will use our best efforts to match you with suitable opportunities but cannot guarantee any specific outcome.
3.4 Visa Processing
If we assist with visa applications:
- Visa approval is at the sole discretion of immigration authorities; we cannot guarantee approval
- You are responsible for providing accurate information and genuine documents
- Government and third-party fees are non-refundable regardless of visa outcome
- You must comply with all visa conditions and immigration laws of the destination country
3.5 Candidate Conduct
You agree not to:
- Submit false or fraudulent information
- Engage directly with employers introduced by us to bypass our services
- Breach confidentiality regarding interview processes or employer information
- Accept a position and fail to commence employment without valid reason
4 Terms for Employers
4.1 Service Agreement
Employers engaging our recruitment services will enter into a separate Service Agreement specifying fees, terms, and conditions applicable to their engagement.
4.2 Placement Fees
Placement fees are payable upon successful hiring of a candidate introduced by SempaHire. Fee structures will be outlined in the Service Agreement and may include:
- Percentage of annual salary
- Flat fee per placement
- Retainer arrangements for ongoing recruitment needs
4.3 Replacement Guarantee
We offer a replacement guarantee period as specified in the Service Agreement. If a placed candidate leaves employment within this period, we will source a replacement at no additional fee, subject to the terms and conditions of the guarantee.
4.4 Employer Obligations
Employers agree to:
- Provide accurate job descriptions and requirements
- Comply with all applicable employment and immigration laws
- Honor the terms of employment contracts with placed candidates
- Not engage candidates introduced by us outside the agreed process
- Provide timely feedback on candidate submissions
5 Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of SempaHire and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
6 Limitation of Liability
To the maximum extent permitted by law:
- SempaHire acts as an intermediary and is not party to any employment relationship between candidates and employers
- We are not liable for the actions, omissions, or conduct of candidates or employers
- We do not guarantee the accuracy of information provided by third parties
- We are not responsible for visa rejections or immigration decisions
- Our liability for any claim shall not exceed the fees paid to us for the specific service giving rise to the claim
- We are not liable for indirect, consequential, or punitive damages
7 Indemnification
You agree to indemnify and hold SempaHire harmless from any claims, damages, losses, or expenses arising from your breach of these Terms, your violation of any law, or your infringement of any third-party rights.
8 Confidentiality
Both parties agree to maintain confidentiality of sensitive information exchanged during the service engagement. This includes:
- Candidate personal information and application details
- Employer business information and hiring strategies
- Fee structures and commercial terms
- Interview feedback and assessment results
9 Termination
Either party may terminate the service relationship at any time by providing written notice. Upon termination:
- All outstanding fees become immediately due
- Obligations regarding placements in progress will continue until completion
- Confidentiality obligations survive termination
- We may retain your information as required by law or legitimate business purposes
10 Dispute Resolution
Any disputes arising from these Terms shall be resolved as follows:
- Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation
- Mediation: If negotiation fails, disputes shall be referred to mediation under the rules of the Ghana Arbitration Centre
- Arbitration: Unresolved disputes shall be settled by binding arbitration in Accra, Ghana
11 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles. The courts of Ghana shall have exclusive jurisdiction over any disputes.
12 Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or direct notification. Continued use of our services after changes constitutes acceptance of the modified Terms.
13 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
